2025–2026 EVENT SPONSORSHIP TERMS & CONDITIONS

The following Event Sponsorship Terms and Conditions (“Terms”) governs all companies and individuals (each, a “Sponsor”) that purchase sponsorships, exhibits, speaking placements, advertising, or related promotional opportunities in connection with any AEP-hosted or co-hosted conferences, summits, forums, private dinners, field events, site tours, and branded experiences (collectively, the “Events”).

Participation in any AEP Event constitutes Sponsor’s acceptance of these Terms.

I. DEFINITIONS

“Event” means any conference, forum, summit, roundtable, dinner, networking reception, site visit, private experience, or other program produced, promoted, or hosted by Augusta Energy Partners.

“Sponsorship” means any paid or in-kind partnership, including branding, exhibit space, speaking participation, advertising, hospitality, or promotional activation associated with an Event.

“Materials” means Sponsor’s logos, trademarks, artwork, collateral, presentations, signage, displays, and promotional items provided for use in connection with an Event.

II. EVENT SPONSORSHIP TERMS

a. Managing Partners’ Right to Approve, Reject, or Terminate

Sponsor shall provide AEP with all Materials requested by the deadline(s) provided by AEP. AEP reserves the right, at its sole discretion, to determine the format, or approve, reject, modify, relocate, or cancel any Sponsorship, exhibit, presentation, branding placement, or Material that it deems inappropriate, inconsistent with Event objectives, or detrimental to attendee experience or brand alignment. AEP may modify the Sponsorship Benefits or the Event format, provided that any such modification does not materially diminish the overall value of the Benefits to the Sponsor.

AEP may terminate sponsorship participation for non-payment or violation of these Terms.

b. Payment Terms

All sponsorship fees are due within 30 days of invoice and must be paid in full prior to the Event unless otherwise agreed in writing. Sponsorship benefits will not be activated until payment is received. All sponsorship fees are non-refundable, except as provided section (d) hereof.

c. Cancellation & Short-Rate

If Sponsor cancels participation, reduces its commitment, or fails to fulfill contracted deliverables, AEP reserves the right to retain all paid fees and invoice for the remaining contract value. AEP may reassign or resell the sponsorship inventory without obligation to Sponsor.

d. Event Cancellation / Force Majeure

AEP may cancel, postpone, or modify an Event due to circumstances beyond reasonable control including, but not limited to: acts of God; flood, fire, or explosion; weather; pandemics; government actions; strikes, labor disputes, labor stoppages or slowdowns, or other industrial disturbances; war, terrorism, invasion, riot, or other civil unrest; national or regional emergency; power outages, or venue limitations (each of the foregoing, a “Force Majeure”), in each case, AEP will use all best efforts to remedy its delayed performance and will promptly notify the Sponsor in writing of the circumstances affecting its timely performance. In such a case, Sponsor may apply paid sponsorship fees toward a future AEP Event or request a refund, at AEP’s discretion.

e. Exhibits & On-Site Participation

Sponsor is responsible for compliance with all venue, safety, shipping, insurance, labor, and exhibitor (“Exhibitor”) requirements. AEP is not responsible for loss, theft, or damage to Sponsor property. Specific Exhibitor Addendums may be required and shall be incorporated herein, and Sponsor agrees to comply with the terms and conditions set forth therein.

f. Use of Trademarks & Content Rights

Sponsor grants AEP a worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free right and license to use Sponsor’s logos, trademarks, name, and Materials for Event marketing, promotion, recap content, photography, video, social media, and digital communications.

AEP may record, photograph, and capture Event sessions and may use such content for promotional, educational, and marketing purposes without compensation to Sponsor.

g. Warranties & Compliance

Sponsor represents and warrants that all Materials, messaging, and activities:

• Comply with all applicable laws

• Do not infringe, misappropriate, or otherwise violate any rights of any third party

• Do not contain misleading, false, or unlawful content

• Do not include malware, harmful code, or unauthorized data collection

Sponsor assumes full responsibility for claims arising from its participation.

h. Indemnification

Sponsor agrees to indemnify, defend, and hold harmless AEP, its affiliates, officers, employees, contractors, and partners from any claims, damages, losses, or expenses (including legal fees) (collectively, “Losses”) arising out of or related to: (i) the Materials, solely as used, presented, displayed, and distributed without alteration and otherwise in compliance with this Agreement, (ii) Sponsor’s breach of any representation, warranty, covenant, or obligation of Sponsor under this Agreement; or (iii) a claim of infringement or misappropriation of any patent, trademark, copyright or other proprietary right held by any other party.

i. Limitation of Liability

AEP shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, lost revenue, goodwill, data, or business interruption arising out of or in connection with this agreement, whether in contract, tort, strict liability, or otherwise. AEP’s total liability shall not exceed the total sponsorship fee paid.

j. No Assignment

Sponsor may not assign or transfer its sponsorship rights without AEP’s prior written consent.

k. Governing Law & Venue

This Agreement shall be governed by the laws of the State of Texas. Any action shall be brought exclusively in the state or federal courts located in Harris County, Texas.

l. Entire Agreement

These Terms, together with any executed sponsorship agreement or invoice, constitute the entire agreement between Sponsor and Augusta and supersede all prior agreements.

m. Relationship of the Parties

AEP and Sponsor are independent contractors with respect to one another. Nothing in this Agreement shall create any association, joint venture, partnership, or agency relationship of any kind between the parties.
